These Terms govern your access to and use of Whatsoza’s website, platform, and services, including WhatsApp Business API integration and messaging tools (“Services”). By using the Services, you agree to these Terms.
1) Eligibility & Accounts
- You must be at least 18 and legally able to contract.
- Provide accurate registration details and keep credentials confidential.
- You’re responsible for all activity under your account.
2) Description of Services
- We provide tools to integrate WhatsApp Business API, send compliant campaigns, automate replies, and manage conversations.
- We do not sell phone numbers or provide recipient consent. You must obtain and maintain valid opt-in.
- We are not WhatsApp/Meta and are not endorsed by them.
3) Acceptable Use
You agree not to use the Services to:
- Send spam, unsolicited, or deceptive messages.
- Send prohibited content (illegal, harmful, hateful, discriminatory, sexually explicit, or infringing).
- Harass users or violate privacy, data protection, telecom, or marketing laws.
- Attempt to bypass security, reverse engineer, or overload the Service.
We may suspend or terminate accounts that violate this section.
4) WhatsApp Compliance
- You must follow WhatsApp Business Terms, Commerce/Business Policies, and template approval rules.
- First-contact messages must use approved templates; session messaging applies after a user reply.
- Opt-in must be clear, informed, and documented; provide an easy opt-out (“STOP” or similar).
- You are solely responsible for content, audience qualification, and consent records.
5) Your Content & Lists
- You represent that your content and contact lists are accurate, lawful, and permission-based.
- You grant us a worldwide, non-exclusive license to process your content solely to provide the Services.
- You retain ownership of your content.
6) Rates, Fair Usage & Limits
- Throughput, file sizes, and API calls may be rate-limited for stability.
- We may throttle or suspend traffic that threatens service integrity or breaches policy.
7) Pricing, Billing & Taxes
- Fees are as listed on our site/plan or agreed in writing.
- Charges may include third-party pass-through costs (e.g., WhatsApp, carriers).
- All fees are exclusive of taxes; you are responsible for applicable taxes.
8) Trials, Upgrades & Cancellations
- Trials are provided “as-is” and may be limited.
- Plans renew unless canceled. Cancellation stops future billing but doesn’t refund past charges unless required by law or our posted policy.
9) Refunds
- Unless stated otherwise in a written policy, fees are non-refundable once the billing cycle starts.
- Misuse, policy violations, or deliverability issues caused by your lists/content are not grounds for refund.
10) Service Availability & Maintenance
- We aim for high availability but do not guarantee uninterrupted service.
- We may perform maintenance (scheduled or emergency).
- Outages may be caused by third-party platforms (e.g., Meta/WhatsApp, hosting, carriers) outside our control.
11) Data Protection & Privacy
- We process data per our Privacy Policy (see website).
- You are the data controller for recipient data; we act as processor as applicable.
- You must provide lawful basis, notices, and honor data subject rights.
- Do not upload special-category or highly sensitive data without our written consent.
12) Security
- We implement reasonable administrative, technical, and organizational measures.
- You must secure your account, webhooks, API keys, and client systems.
13) Third-Party Services
- The Services integrate with third parties (e.g., Meta/WhatsApp). Their terms and availability apply.
- We are not liable for third-party changes, limits, or outages.
14) Intellectual Property
- The platform, documentation, and brand assets are our IP or our licensors’.
- You may not copy, modify, or create derivative works except as permitted in writing.
15) Feedback
- Suggestions or feedback may be used by us without obligation or compensation.
16) Warranties & Disclaimers
- The Services are provided “as-is” and “as available.”
- We disclaim all warranties (express/implied), including merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant specific deliverability, conversion, or revenue outcomes.
17) Limitation of Liability
- To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
- Our total liability for any claim is limited to the fees you paid to us in the three (3) months preceding the event giving rise to the claim.
18) Indemnification
- You will defend, indemnify, and hold us harmless from claims, damages, and costs arising from:
- (a) your content or contact lists;
- (b) your breach of these Terms or laws;
- (c) your use of the Services, including messaging practices and lack of consent.
19) Suspension & Termination
- We may suspend or terminate access for policy breaches, legal requests, non-payment, or risk to the platform.
- You may terminate at any time via the dashboard or written notice.
- On termination, your right to use the Services stops; we may delete data per our retention policy unless law requires otherwise.
20) Changes to the Services or Terms
- We may update features or these Terms. Material changes will be posted on our site (and/or emailed where required).
- Continued use after changes means acceptance.
21) Governing Law & Dispute Resolution
- These Terms are governed by the laws of Pakistan, excluding conflict-of-laws rules.
- Courts located in [ahore/Pakistan shall have exclusive jurisdiction.
- You agree to first attempt informal resolution by emailing legal@whatsoza.com.
22) Export & Sanctions
- You confirm you are not subject to sanctions and will not use the Services in violation of export or sanctions laws.
23) Entire Agreement
- These Terms, your plan/order, and referenced policies (e.g., Privacy Policy, Acceptable Use) form the entire agreement and supersede prior discussions.
24) Severability & Waiver
- If any provision is unenforceable, the remainder stays in effect.
- Our failure to enforce a provision is not a waiver.
